We do not provide legal advice to the general public, and our services do not establish an attorney-client relationship with end clients. The Partner Attorney retains full professional responsibility for all filings and legal strategy.
1. Service Description
FormHarbor ("Company," "we," "us," or "our") operates a B2B platform providing litigation drafting, research, and document preparation support services to licensed attorneys ("Partner Attorneys" or "you"). Our services include:
- Immigration law litigation document drafting and research support
- Federal court complaint and motion preparation
- Legal research and citation verification
- A-File forensic analysis and timeline construction
- Administrative appeals drafting support
- Technical legal memoranda
1.1 No Practice of Law
FormHarbor does NOT practice law. We provide support services to licensed attorneys who retain full professional responsibility for:
- All legal strategy and decision-making
- Client counseling and attorney-client relationships
- Court filings and appearances
- Professional liability for all matters
- Compliance with ethical rules and bar requirements
2. Eligibility
Our services are available only to licensed attorneys in good standing with their respective bar associations. By using FormHarbor's services, you represent and warrant that:
- You are a licensed attorney authorized to practice law in the United States
- Your bar license is active and in good standing
- You will use our services solely for your law practice
- You will independently verify all work product before filing
- You retain full professional responsibility for all client matters
3. Privilege and Confidentiality
3.1 Privilege Preservation
FormHarbor operates as an agent of Partner Attorneys to preserve attorney-client privilege and work-product doctrine. We maintain strict confidentiality protocols and execute NDAs with all team members.
Important: The attorney-client privilege exists between you and your client. FormHarbor preserves this privilege as your agent but does not create or grant privilege. You remain responsible for ensuring privilege is maintained.
3.2 Data Security
We maintain SOC 2 Compliant Architecture security controls including:
- AES-256 encryption for data at rest and in transit
- Secure file transfer protocols
- Access controls and audit trails
- Annual third-party security audits
- Employee confidentiality agreements
4. Attorney Responsibilities
As a Partner Attorney, you are responsible for:
- Independent Review: Reviewing all work product before use or filing
- Accuracy Verification: Confirming factual accuracy and legal positions
- Client Communications: All client counseling and legal advice
- Court Filings: All appearances, signatures, and court submissions
- Professional Liability: Full responsibility for malpractice and ethical compliance
- Local Rules Compliance: Verifying compliance with jurisdiction-specific requirements
- Bluebook Citations: While we verify citations, you must independently confirm accuracy
5. No Guarantees
FormHarbor provides drafting support services but makes NO guarantees regarding:
- Case outcomes or litigation success
- Judicial decisions or agency rulings
- Processing times or adjudication timelines
- Specific legal results or relief
All legal strategy, case assessment, and outcome predictions remain the sole responsibility of the Partner Attorney.
6. California SB 574 Compliance
In compliance with California SB 574 (effective January 1, 2026), we certify that:
- All legal citations are verified against live databases before delivery
- We do not use client data to train public AI models (Rule 1.6 compliant)
- Partner Attorneys receive full source citations for independent verification
- We maintain audit trails of all research and citation verification
7. ABA Model Rule 5.3 Compliance
FormHarbor operates in accordance with ABA Model Rule 5.3 (Responsibilities Regarding Nonlawyer Assistants). Partner Attorneys must:
- Supervise our work product as they would internal staff
- Maintain direct responsibility for all client matters
- Ensure our services are used ethically and professionally
- Not delegate professional judgment or legal strategy to FormHarbor
8. Payment Terms
Services are billed on a per-project basis or monthly retainer, as agreed in writing. Payment terms:
- Invoices are due within 30 days of issuance
- Late payments may incur interest at 1.5% per month
- Non-payment may result in suspension of services
- Pricing is subject to change with 30 days' notice
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- FormHarbor's liability is limited to fees paid in the 12 months preceding the claim
- We are not liable for consequential, indirect, or punitive damages
- Partner Attorneys assume all professional liability for their cases
- Our services are provided "as is" with no warranties of any kind
- We are not liable for malpractice claims arising from your use of our work product
10. Indemnification
Partner Attorneys agree to indemnify and hold harmless FormHarbor from:
- Malpractice claims related to cases where our services were used
- Ethical violations or bar complaints
- Client disputes or fee disputes
- Third-party claims arising from your use of our services
11. Termination
Either party may terminate this agreement with 30 days' written notice. Upon termination:
- Partner Attorney receives all work product and source materials
- Outstanding invoices become immediately due
- Confidentiality obligations survive termination
- No refunds for services already delivered
12. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration in San Francisco, California, except for intellectual property disputes which may be brought in federal court.
13. Modifications
We may update these Terms with 30 days' notice via email. Continued use of services after notice constitutes acceptance of updated Terms. Material changes affecting liability or scope of services require written agreement.
14. Entire Agreement
These Terms, together with any signed service agreements, constitute the entire agreement between FormHarbor and Partner Attorneys. Oral representations are not binding.
